Pulse Terms of Service

# Pulse Terms of Service Pulse is a business-to-business market intelligence service provided by Catalyse. By using Pulse, the Customer confirms that it acts for a business or organisation, has provided accurate company information and is authorised to bind that organisation. Service and decision support Pulse provides decision-support information based on weather signals, calendars, historical observations, third-party data and automated processing. Signals, forecasts, dates, opportunity scores and recommendations are not guaranteed outcomes. The Customer remains responsible for applying professional judgement and making its own business decisions. Customer licence and authorised users The subscription is granted solely to the legal entity identified as the Customer at signup, checkout or in the applicable order. Access to one or more markets determines which countries’ data and market intelligence the Customer may view. Market access does not extend the subscription to affiliated companies, parent companies, subsidiaries or other entities within the same corporate group. Authorised users must be employees or individual contractors working directly for the Customer and using Pulse solely on the Customer’s behalf. The Customer may not share accounts, access rights or Pulse outputs with another legal entity for that entity’s independent or primary use unless the entity is expressly included in a written order or enterprise agreement with Catalyse. Additional group entities require separate licences unless otherwise agreed in writing with Catalyse. Permitted use The Customer may use Pulse and its outputs for its own internal business planning, analysis, marketing and decision-making. The Customer may not: resell, sublicense or commercially redistribute Pulse or its data; share accounts with unauthorised users or other legal entities; scrape or systematically extract substantial parts of the service; reverse engineer or bypass security or access controls; use Pulse unlawfully or infringe third-party rights; or interfere with the operation or security of the service. Subscriptions and payment Subscriptions renew automatically for the selected monthly or annual billing period until cancelled. Upgrades take effect immediately and may result in a prorated charge. Downgrades and cancellations take effect at the next renewal. Fees are non-refundable except where required by law or expressly agreed in writing. Intellectual property Pulse, including its software, models, design, branding and original content, remains the property of Catalyse or its licensors. Customer-uploaded material remains the Customer’s property. The Customer grants Catalyse the limited rights necessary to host, process and display that material for the purpose of providing the service. Limitation of liability To the maximum extent permitted by law, Catalyse is not liable for indirect or consequential loss, lost profit, lost revenue, lost opportunity, loss of anticipated savings or decisions made using Pulse outputs. Catalyse’s total aggregate liability arising from Pulse or these Terms is limited to the subscription fees paid by the Customer during the 12 months preceding the event giving rise to the claim. This limitation does not apply to liability that cannot lawfully be excluded or limited. Privacy Personal data is processed as described in the Pulse Privacy Policy. The Customer is responsible for ensuring that it has a lawful basis for any personal data submitted to Pulse. Governing law These Terms are governed by Norwegian law. The parties will first attempt to resolve disputes through good-faith negotiation before bringing proceedings before the competent Norwegian courts.
